§2. Definitions
The following terms used in these Terms & Conditions shall mean:
§3. Scope of Services
Vimble Studio provides the following services:
3.1 Websites
- •Design and development of Landing Pages
- •Multi-page website development
- •Websites built with Next.js / React
- •CMS-based websites (e.g. WordPress)
- •E-commerce stores
- •Website deployment and migrations
3.2 SEO & Marketing
- •SEO Audits
- •Organic SEO (On-Page / Off-Page)
- •Technical website optimization
- •Content marketing and copywriting
3.3 Additional Services
- •Graphic design (UI/UX)
- •Website maintenance and updates
- •Technical consulting
- •Hosting and domain configuration
3.4 Exclusions
Vimble Studio does not provide legal, financial, or any advisory services other than technical and marketing-related.
§4. Order Conditions & Contract Formation
4.1 Order Process
- 1.The Client fills in the contact form or sends an inquiry via e-mail.
- 2.Vimble Studio sends a quote and scope of work within 3 business days.
- 3.The Client accepts the offer in writing (e-mail or signed agreement).
- 4.The Client pays the Deposit.
- 5.Vimble Studio begins execution.
4.2 Brief
After accepting the offer, the Client is required to complete the Brief within a timeframe agreed with the Service Provider. Failure to provide the Brief may delay the project — Vimble Studio bears no responsibility for such delays.
4.3 Contract Formation
The Agreement is concluded upon:
- •Written (e-mail) confirmation of order acceptance by Vimble Studio.
- •Receipt of the Deposit in the Service Provider's account.
§5. Payments & Settlements
5.1 Deposit
- •Standard deposit: 50% of the Service value.
- •The deposit is non-refundable if the Client cancels after approving the project or mockup.
- •Work does not begin until the deposit has been received.
5.2 Final Payment
- •The remaining 50% is due before the completed Project is delivered to the Client.
- •Vimble Studio will not transfer files, access credentials, or source code until full payment has been received.
5.3 Payment Terms
- •Invoices are payable within 7 or 14 days (as stated on the invoice).
- •Statutory interest for late payments in commercial transactions will be charged for each day of delay.
5.4 Payment Method
- •Bank transfer to the Vimble Studio account.

5.5 Invoices
- •Vimble Studio issues invoices exempt from VAT pursuant to applicable small business VAT exemption regulations.
- •Invoices are issued promptly upon receipt of payment or upon the Client's request.
5.6 Scope Changes
- •The quotation covers the scope of work defined in the offer/agreement.
- •Any change to the scope of work after project approval requires a separate quotation and may extend the delivery timeline.
§6. Execution & Timelines
6.1 Delivery Timeline
- •The delivery timeline is agreed individually and specified in the offer/agreement.
- •The timeline starts from the date the Deposit is received AND the Client has delivered a complete Brief and all required materials.
6.2 Materials from the Client
The Client is required to provide:
- •Content (texts, descriptions, company information)
- •Logos and graphic assets
- •Hosting/domain access credentials (if required)
- •Any other materials necessary for the execution of the Service
Any delay in delivering materials by the Client automatically shifts the delivery timeline. Vimble Studio bears no responsibility for such delays.
6.3 Revisions
- •Each service includes 2 rounds of revisions (unless otherwise stated in the agreement).
- •Revision requests must be submitted collectively, not individually.
- •Additional revision rounds beyond the included limit are quoted separately.
6.4 Project Acceptance
- •Once the completed Project has been submitted, the Client has 7 business days to raise any concerns.
- •Failure to respond within this period is deemed as silent acceptance of the Project.
§7. Copyright & Intellectual Property
7.1 Rights Before Transfer
Until full payment has been received, all copyrights to the Project remain the property of Vimble Studio.
7.2 Transfer of Copyright
Upon receipt of full payment, Vimble Studio transfers to the Client the economic copyright to the Project for the following fields of exploitation:
- •Display and publication on the Internet
- •Modification and further development
- •Use for commercial purposes
7.3 Portfolio
- •Vimble Studio reserves the right to present the completed Project in its portfolio and marketing materials.
- •The Client may request confidentiality of the Project — such a clause must be included in the agreement.
7.4 Client Materials
- •The Client declares that they hold full rights to all materials submitted to Vimble Studio.
- •Vimble Studio bears no responsibility for copyright infringements resulting from materials provided by the Client.
7.5 Open Source / Licenses
- •The Project may include open source components (e.g. React, Next.js, Tailwind CSS).
- •The Client is obligated to comply with all applicable open source licenses.
7.6 Prohibition of Resale
The Client may not resell the Project to third parties as their own work without the written consent of Vimble Studio.
§8. Complaints
8.1 Submission Deadline
- •The Client may file a complaint within 14 days of receiving the Project.
- •Complaints submitted after this deadline may not be considered.
8.2 How to Submit a Complaint
Complaints should be sent to:

- •Content: a detailed description of the issue with attached screenshots or a screen recording
8.3 Processing Time
- •Vimble Studio will process the complaint within 14 business days of receipt.
- •The Client will be notified of the decision by e-mail.
8.4 Scope of Complaints
A complaint is valid when:
- ✓The Project does not meet the specifications defined in the agreement/offer.
- ✓The website does not function correctly on major browsers (Chrome, Firefox, Safari, Edge).
- ✓The website is not responsive (RWD), if this was part of the order.
A complaint is NOT valid when:
- ✗The Client has changed their mind about the project.
- ✗The issue results from actions taken by the Client after delivery.
- ✗The Client failed to provide the necessary materials.
- ✗The issue relates to scope outside of the original order.
§9. Liability
9.1 Scope of Liability
Vimble Studio is liable for:
- •The quality of the Service delivered (compliance with the offer and brief).
- •Meeting agreed deadlines (provided that all Client materials were delivered on time).
- •The security of data submitted by the Client.
9.2 Exclusions of Liability
Vimble Studio is NOT liable for:
- •Google algorithm behavior (SEO rankings) — no specific ranking positions are guaranteed.
- •Downtime of hosting or domain services (third-party providers).
- •Content published by the Client after project delivery.
- •Losses resulting from the Client's failure to provide materials on time.
- •Copyright infringements resulting from materials provided by the Client.
- •Data loss after the Project has been handed over to the Client.
9.3 Liability Cap
Vimble Studio's maximum liability for damages is limited to the net amount paid by the Client for the respective Service.
§10. Confidentiality
10.1 Client Data
- •Vimble Studio undertakes to keep confidential all data, information, and materials provided by the Client.
- •Data will not be disclosed to third parties without the Client's written consent.
10.2 Exceptions
Confidentiality does not apply when:
- •Disclosure is required by law.
- •The data is publicly available.
- •The Client has given written consent.
10.3 Portfolio
As stated in §7.3, Vimble Studio reserves the right to present the Project in its portfolio, unless otherwise agreed in the contract.
§11. Personal Data Protection (GDPR)
11.1 Data Controller
The controller of Clients' personal data is: Vimble Studio, Klaudia Miszke, Zygfryda Kupki 20, 41-800 Zabrze, Poland.
11.2 Purpose of Processing
Personal data is processed for:
- •Execution of the ordered Service (Art. 6(1)(b) GDPR).
- •Issuing invoices and tax settlements (Art. 6(1)(c) GDPR).
- •Marketing of own services (Art. 6(1)(f) GDPR — legitimate interest).
11.3 Retention Period
- •Invoice-related data: 5 years (tax requirement).
- •Other data: until the end of cooperation + 1 year.
11.4 Client Rights
The Client has the right to:
- •Access to personal data
- •Rectification of data
- •Erasure of data (right to be forgotten)
- •Restriction of processing
- •Data portability
- •Right to object to processing

§12. Cancellation & Termination
12.1 Cancellation by the Client
Before work begins:
The deposit is refunded in full.
After work has begun, before delivery:
- •The deposit (50%) is forfeited — non-refundable.
- •The Client is not obligated to pay the remaining 50%.
After project acceptance and delivery:
- •Full payment is required.
- •Cancellation is no longer possible.
12.2 Termination by Vimble Studio
Vimble Studio may terminate the Agreement when:
- •The Client fails to provide required materials for more than 30 days after being formally requested.
- •The Client has an outstanding payment overdue by more than 14 days.
- •The Client breaches the provisions of these Terms & Conditions.
- •The scope of work turns out to be unlawful.
In such cases, Vimble Studio will refund a proportional part of the Deposit for work not yet completed.
§13. Final Provisions
13.1 Governing Law
These Terms & Conditions are governed by Polish law. Matters not regulated herein shall be subject to the provisions of the Polish Civil Code.
13.2 Dispute Resolution
- •The parties agree to seek an amicable resolution to any disputes as a first step.
- •In the absence of an agreement, the competent court shall be the court with jurisdiction over Vimble Studio's registered address.
13.3 Amendments
- •Vimble Studio reserves the right to amend these Terms & Conditions.
- •Clients will be notified by e-mail with 14 days' notice.
- •Amendments do not affect agreements already concluded.
13.4 Integrity
In the event of a conflict between these Terms & Conditions and an individual Agreement, the provisions of the Agreement shall take precedence.
13.5 Acceptance
- •Placing an order constitutes acceptance of these Terms & Conditions.
